Patent Lisans Sözleşmelerinde Taraf Değişikliği

Abstract

Patent lisans sözleşmesi, lisans verenin, patentten doğan haklarının kullanımı konusunda lisans alana yetki verdiği, sürekli borç ilişkisi kuran bir sözleşmedir. Lisans veren, patente konu buluşu lisans alanın kullanımına sunarak bir gelir sağlamakta, lisans alan ise kullandığı teknoloji ile ekonomik sistemde etkin rol sağlamaktadır. Süreklilik içeren bu borç ilişkisinde çeşitli sebeplerle sözleşmenin taraflarının değişmesi durumu makalenin konusunu oluşturmaktadır. Borçlar Hukukunda düzenlenen ve borç ilişkilerinde taraf değişikliğine yol açan alacağın devri, borcun üstlenilmesi, borca katılma, işletmenin devri, sözleşmenin devri, sözleşmeye katılma, alt lisans, rehin ve miras yoluyla taraf değişikliğine ilişkin hususlar Türk Borçlar Kanunu ve Sınai Mülkiyet Kanunu çerçevesinde incelenmiştir

The patent license agreement is a contract that establishes a continuous debt relationship, where the licensor authorizes the licensee to use their rights arising from the patent. The licensor provides an income by offering sharing the subject of invention of the patent to the licensee, and the licensee is provides taking an effective role in the economic system with the technology he uses in return it uses. This article is reviewing the situation of is the changes of the sides parties of the patent license agreement for various reasons. The issues which may cause change of side such as related to the assignment of claims, assumption of debt, the participation in the debts, merger and assignment of businesses, the transferring and a contract, pledge and change of the parties through inheritance are examined within the framework of the Turkish Code of Obligations and Turkish Industrial Property Code.
